Terms and Conditions
TheCustomer's attention is particularly drawn to the provisions of clause15(Limitation ofliability).
1.1The following definitions and rulesof interpretation apply in these Conditions.
Business Day --aday other than a Saturday, Sunday or public holiday inEngland, when banks in London are open for business;
Booking Confirmation --a formwith asummary ofany Services, Goods,Equipmentand Venue hireto be provided undertheContract together with an advanced invoiceon accountof Charges;
Charges --the total consideration due under the Contract includingcostof Goods and Services, costs of hire of Equipmentand Venue, additionalchargesand other moniespayableby theCustomerunder these Conditions;
Customer --the person or firm who agrees to purchase the Goodsand/or Services and/or hire theVenue and/orEquipmentfrom theCompany;
Commencement Date --has the meaning given in clause2.3;
Company --Sunbeam Photographic Limited registered in Englandand Wales with company number 07171165;
Conditions --these terms and conditions as amended from time totime in accordance with clause27;
Contract --the contract between theCompanyand theCustomerfor the supply of Goodsand/or Servicesand hire ofEquipment and/or Venuein accordance with theseConditionscomprising the BookingConfirmation, theseConditionsand ourVenue GuidelinesBooklet.
Controller,processor,datasubject,personal data, personaldata breach, processing andappropriate technical measures --as defined in the Data Protection Legislation;
Damage Waiver --fee of15% ofthe Charges for Equipment hireData Protection Legislationthe UK Data Protection Legislationandany otherEuropean Union legislation relating to personal data andall other legislation and regulatory requirements in forcefrom time to time which apply to a party relating to theuse of personal data (including, without limitation, theprivacy of electronic communications;
Equipment --all fixtures, vehicles, lighting and other materialsprovidedfor hireby the Company or by any sub-contractor of the Companyunderthe Contract;
First Option --anon-binding, non-transferableoptiongivenby theCompanyto theCustomerfor a specified job, date,venue, rate and/or package;
Force Majeure -- Eventhas the meaning given to it in clause19;Goods Specificationany specification for theGoodsthat is agreed by theCustomerand theCompany;
Intellectual Property -- Rightspatents,copyright and related rights,trade marks,business names and domain names, goodwill and theright to sue for passing off rights in designs, databaserights, rights to use, and protect the confidentiality of,confidential information (including know-how), and allother intellectual property rights, in each case whetherregistered or unregistered and all similar or equivalentrights or forms of protection which subsist or willsubsist now or in thefuture in any part of the world;
Off-Site --any area or premises that is not thePremises;
Premises --Ladbroke Hall, 79 Barlby Road, London W10 6AZ;
ProvisionalBookingConfirmation --verbal or written confirmation by theCustomerto theCompanythat itwishes toproceed witha shoot or eventat the Venue, as applicable;
Rate Cards --list of the hourly, daily and weekly rates for hire of theVenue and Equipment in force from time to time;
Second Option --a non-binding, non-transferable optionissuedto theCustomerwhen the required studio/date already has aFirstOption in place andtoregister theCustomer’sinterest in the studioand date;
Services --the servicesto besupplied by theCompanyto theCustomeras set out inthe Service Specification;
Service Specification --the description or specification for the Servicesas setout intheBookingConfirmationandas furtheramendedfrom time to time in writing (includingemail);
Total Loss --the Equipment is, in the reasonable opinion of theCompany, damaged beyond repair, lost, stolen, seized orconfiscated;
UK Data Protection Legislation --all applicable data protection and privacy legislation inforce from time to time in the UK including the GeneralData Protection Regulation ((EU) 2016/679); the DataProtection Act 2018; the Privacy and ElectronicCommunications Directive 2002/58/EC (as updated byDirective 2009/136/EC) and the Privacy and ElectronicCommunications Regulations 2003 (SI 2003/2426)asamended.
Venue -- those areas at the Premises to be hiredby theCustome rspecified in the [BookingConfirmation];
Venue Guidelines --the restrictions on the use of the Venue and theEquipment as notified to the Customer from time totime;
1.2.1areference to a party includes its personal representatives, successors and permitted assigns.
1.2.2areference to a statute or statutory provision is a reference to it as amended or re-enacted. Areference to a statute or statutory provision includes all subordinate legislation madeunder thatstatute or statutory provision.
1.2.3any words following the termsincluding,include,in particular,for exampleor any similarexpression shall be construed as illustrative and shall not limit the sense of the words,description, definition, phraseor term preceding those terms.
